But this doesn't seem a good solution at all, does it?! Now I have a solution which can waste my time for more than 72 hours: replacing one of my old machines (lovely Intel CPU and GigaByte Mainboard) with this new machine (moving more than 200 GB of necessary data is a pain!).
Microsoft upgrade advisor for Vista confirms this Mainboard as a compatible hardware for Vista (regardless of a BIOS issue with new BIOS version which I'll describe later).

Yesterday I finally gave up and searched for any issue with MSI K9NGM and Vista, and yes, I found same issue for other three people with same Mainboard on TechNet forums (here and here ).
